Before the offering memorandum is released, please read and sign. This limits use of the materials to evaluating a purchase of the Property.
This Confidentiality Agreement is entered into as of the date of electronic signature by the person and entity identified below (“Recipient”), in favor of Dixon Capital Partners, LLC and the owner of the Property.
1. Purpose
Recipient is requesting the offering memorandum and related materials solely to evaluate a possible purchase of the real property at 1089 West Morse Boulevard, Winter Park, Florida 32789 (the “Property”).
2. Confidential information
“Confidential Information” means the offering memorandum and every other non-public fact about the Property or its owner furnished by Dixon Capital Partners, LLC (“Broker”) or the owner, in any form, together with notes, analyses, and copies prepared from that information. It does not include information that is or becomes public other than by Recipient’s breach, or that Recipient already rightfully possesses without a duty of confidentiality.
3. Non-disclosure and limited use
Recipient will keep Confidential Information confidential and will use it only to evaluate a purchase of the Property. Recipient may share it only with attorneys, accountants, lenders, and advisors who need it for that evaluation and who are directed to honor this agreement. Recipient is responsible for any breach by those persons.
4. No contact
Recipient will not contact the owner, tenants, occupants, property manager, or on-site employees about the Property or this offering except through Broker, and will not enter non-public areas of the Property without Broker’s prior consent.
5. No representation or warranty
Confidential Information is believed reliable but is not guaranteed and may be incomplete or out of date. Broker and the owner make no representation or warranty, express or implied, as to the Property or the information. Recipient will rely on its own inspection and advisors.
6. No obligation
This agreement does not obligate the owner to sell, or Recipient to buy, the Property. The offering is subject to prior sale, change of price or terms, or withdrawal without notice.
7. Return
If Recipient does not proceed, or upon Broker’s request, Recipient will promptly return or destroy Confidential Information and confirm that in writing, except one copy counsel may retain if required by law or professional rule.
8. Remedies
Recipient agrees that a breach may cause irreparable harm for which money damages are an inadequate remedy, and that Broker and the owner may seek injunctive relief, without the necessity of proving actual damages, in addition to any other remedies.
9. Term
These obligations last for two years from the date of signature, and for so long as any particular item of Confidential Information remains non-public.
10. Broker
Recipient acknowledges that Tad Dixon and Dixon Capital Partners, LLC, a licensed Florida real estate broker, represent the owner in this offering. Recipient will not circumvent Broker. A cooperating broker or advisor will look only to its own client for compensation unless a separate written agreement with Broker provides otherwise.
11. Governing law
This agreement is governed by the laws of the State of Florida. Exclusive venue lies in the state or federal courts sitting in Orange County, Florida. If a provision is unenforceable, the remainder stays in effect.
12. Electronic signature
Recipient agrees that the electronic signature applied below, whether drawn or typed, is intended to authenticate this writing and is the legal equivalent of a handwritten signature under the federal ESIGN Act and the Florida Uniform Electronic Transactions Act, Section 668.50, Florida Statutes. An electronic copy is effective as an original.
13. Entire agreement
This is the entire agreement on confidentiality for this offering. It creates no partnership, joint venture, or agency. It binds Recipient and its successors and benefits Broker, the owner, and their successors. It may be signed in electronic counterparts.
